For Immediate Release, July, 2005:

Tan Holdings acquires PacifiCare

TAN HOLDINGS Corporation (THC) introduces a new subsidiary to its growing family of companies: Take Care Health Systems LLC, based in Guam, Saipan and Palau.

TakeCare is a federally qualified health maintenance organization that will insure and provide medical and dental care to the people of Guam and the CNMI through its plan administration, medical and dental staffs of local employees.

Such was made possible after TakeCare acquired PacifiCare Asia Pacific and all of its shares and assets on the aforementioned islands as announced by TakeCare management last July 29,2005. TakeCare is a partnership of five current senior managers of PacifiCare Asia Pacific and THC's Century Insurance Company.

PacifiCare Asia was a subsidiary of PacifiCare Health Systems, Inc. one of the United States' leading managed health care services companies.

The purchase of PacifiCare Asia Pacific will not disrupt the continuity of insurance policies, benefits and health services for employer groups, members, patients and providers, according to a press release from TakeCare. Under the terms of the sales, TakeCare will assume all ofPacfiCareAsia Pacific's insurance and service agreements and retain employees located in the region.

"The transfer of ownership to TakeCare allows decisions regarding health-care policies and services to be made by individuals who live in the community and are most familiar with the unique needs of the region's families and communities," said Joseph Husslein, president and chief executive officer of TakeCare Health Systems, in the press release.

"Aside from ensuing continuity of benefits and health care forthe consumers, this partnership will result in significant advantages for employers, members and the community by making health care more affordable and accessible," Husslein said.
